1. Acceptance of Terms

By accessing or using Files Ground ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform. We reserve the right to update these terms at any time; continued use constitutes acceptance.

2. Eligibility

You must be at least 18 years old to use Files Ground. By registering, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorized use at support@filesground.com.
  • We reserve the right to suspend or terminate accounts that violate these terms.

4. Buyer Terms

4.1 Licenses

When you purchase or download an asset, you receive a non-exclusive, non-transferable license to use that asset as described in our License Agreement. You do not acquire ownership of the asset or its intellectual property.

4.2 Prohibited Uses

  • Reselling, redistributing, or sublicensing assets as standalone files.
  • Using assets in defamatory, illegal, or harmful content.
  • Removing watermarks or copyright notices from preview files.
  • Using assets to train AI/ML models without explicit written permission.

5. Author Terms

5.1 Content Ownership & Rights

By uploading content, you represent that you own or have the necessary rights to all elements in your submission, including model releases and property releases where required.

5.2 License Grant to Files Ground

You grant Files Ground a non-exclusive, worldwide, royalty-free license to host, display, distribute, and sublicense your content to buyers in accordance with the platform's license terms.

5.3 Revenue Share

Authors receive a percentage of each sale as displayed in the author dashboard. Files Ground retains a platform commission. Rates are subject to change with 30 days' notice.

5.4 Content Standards

  • All content must be original and not infringe third-party rights.
  • No illegal, obscene, or harmful content.
  • Technical quality standards must be met (resolution, file format, metadata).
  • Files Ground reserves the right to reject or remove any content at its discretion.

6. Subscriptions & Payments

  • Subscription fees are billed in advance on a monthly or annual basis.
  • All payments are processed securely via PayPal.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Refunds are issued at our discretion; contact support within 7 days of a charge.

7. Intellectual Property

The Files Ground platform, logo, and interface are owned by Files Ground and protected by copyright and trademark law. You may not copy, modify, or distribute any part of the platform without written permission.

8. Disclaimers & Limitation of Liability

The platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Files Ground shall not be liable for indirect, incidental, or consequential damages arising from your use of the platform.

9. Governing Law

These terms are governed by applicable law. Any disputes shall be resolved through binding arbitration or in the courts of the jurisdiction where Files Ground is registered.
